| 1. Welcome to the Widget. The Widget is provided to you by Six Continents Hotels, Inc., a company in the InterContinental Hotels Group, ("IHG"), to enable you to access and view IHG-provided content, to display on your own desktop (“your desktop”) or web site ("your web site") in a structured format, through use of an IHG-provided tool (the "Widget"), which term includes any and all software files or images incorporated in, or generated by, the Widget and any and all data and html embedded code that accompanies the Widget, and any upgrades, enhancements, modifications, updates and revisions of such software and code.
2. Acceptance of Conditions of Use. Your use of the Widget is subject to your compliance with, and constitutes your acceptance of, these Widget Conditions of Use ("Conditions of Use"), together with the IHG Privacy Policy found at www.ihg.com and subject to Priority Club Rewards Membership Terms and Conditions found at http://www.ichotelsgroup.com/h/d/pc/1/en/c/2/content/dec/pc/0/en/ptc.html. Please read these conditions and policies carefully. By using the Widget, you are stating that you have read and understood, and agree to be bound by, these conditions and policies. If you do not agree to these conditions and policies, you are not to use the Widget. These Conditions of Use only apply to your use of the Widget. Any other use you make of IHG's services will be subject to your compliance with the applicable IHG conditions of use for each such service (e.g., <Terms and Conditions of Internet Use>).
3. Eligibility. The Widget is not intended for use by persons under 13 years of age, and such persons must not use Widget for any purpose. If you are at least 13 years of age, but under 18 years of age, you must have the permission of a parent or legal guardian to use Widget.
4. Technical Requirements. You are responsible for obtaining and maintaining all equipment and services needed to access and use the Widget, and for paying any applicable charges related thereto. We are not responsible if any technical incompatibility or malfunction results in your inability to use, or results in any impaired or less than optimal performance of, the Widget in connection with your web Site(s).
5. License. Subject to your compliance with these Conditions of Use, IHG hereby grants you a non-exclusive, non-transferable, non-sublicensable, personal, revocable license to use and display the Widget on your desktop or web page solely for your own personal, non-commercial use as permitted by these Conditions of Use. You are not licensed to use the Widget for any other purpose, and nothing in these Conditions of Use shall be deemed to grant you any right, title or interest in the Widget. In particular, you may not use the Widget to offer or promote, or otherwise in association with, any products or services for sale. You may not reverse engineer, decompile, disassemble, modify, rent, lease, loan, copy, license or make improvements to the software contained in the Widget. You may not create derivative works of the software contained in the Widget without, in each instance, your obtaining the express prior written permission of IHG. The software contained in the Widget is licensed and not sold to you. You agree that you shall not engage in any conduct, or encourage or induce any third party to engage in any conduct, that interferes with, or is otherwise detrimental to, IHG (and its parents', affiliates', subsidiaries' and licensors') right, title and interest (including without limitation, intellectual property rights) applicable to, or embodied in, the Widget and IHG-provided content. You hereby grant IHG a non-exclusive, perpetual, irrevocable, fully-transferable, fully-sublicenseable, royalty-free, worldwide license to use and display for any purpose, any and all personalized headlines, captions, or other identifiers that you use in connection with the Widget. All rights not expressly granted to you in this paragraph, are expressly reserved by IHG on behalf of itself and/or its affiliates, parents, subsidiaries and licensors and shall remain the sole property thereof.
6. Restrictions on Use. The Widget (including the software contained therein) and IHG-provided content (including licensed content) accessed through the Widget, including without limitation, text, graphics, logos, button icons, images, audio clips, video clips, digital downloads, data compilations and software, are protected under United States and international copyright laws, are subject to other intellectual property and proprietary rights and laws, and are owned by IHG, its parents, affiliates, subsidiaries and/or its or their licensors. Subject solely to the express parameters of the limited license granted to you pursuant to the immediately preceding paragraph, the Widget and IHG-provided content accessed through the Widget may not be copied, modified, deleted, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without your obtaining the express prior written permission in each instance of IHG and its applicable licensors. Nor may any IHG-provided content accessed through the Widget be used in any manner that would constitute an endorsement (whether express or implied) by any person or entity of any product(s), service(s), activity, or brand contained on your web pages(s). You must abide by all copyright notices, information, or restrictions contained in or attached to any content on the IHG web site that you access through the Widget.
7. Prohibitions. You are solely and entirely responsible for the operation and content of your web page(s) on which you use the Widget. Your web page(s) (including any and all content within your web page) must not: (a) violate any third party's intellectual property rights, including without limitation, copyrights, trade secrets, trademarks, service marks or patents; (b) violate a third party's privacy or publicity rights, defame a third party, or include any information about a person that you know to be false; (c) include content that is offensive, abusive, harassing, threatening, tortious, discriminatory, vulgar, pornographic, obscene or hateful (e.g., content on your web page(s) that promotes hatred of, ridicules or discriminates against persons based on their race, ethnicity, nationality, religion, gender, sexual orientation, physical or mental disability is prohibited); (d) stalk, threaten, harass, sexually exploit, threaten or exhibit violence against, or harm another individual or encourage such activities, or solicit information from any person under 18 years of age; (e) contain nudity, violence, or offensive subject matter or contain any link to an adult web site or any web site promoting child pornography, human trafficking, violence, terrorism, firearms, drugs, gambling, intellectual property rights infringement, any other illegal activity or other objectionable subject matter; (f) contain advertising, promotional materials, junk mail, spam, instant messaging, chain letters, or any other form of solicitation; (g) promote or involve commercial activities, including without limitation, advertisements, contests, lotteries, sweepstakes, or pyramid schemes; (h) transmit any material that contains adware, malware, spyware, software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (i) tamper with, interfere with, disrupt or impair Widget or servers or networks connected to Widget, or circumvent any requirements, procedures, policies, or regulations of networks connected to Widget; or (j) otherwise violate any applicable law, regulation or rule, whether local, state, national, or international. This list of prohibitions and examples is not an exhaustive list of prohibited content on your web site(s). We reserve the right in our sole and absolute discretion to determine if your web page complies with these Conditions of Use and is otherwise suitable and appropriate for the use of Widget, although we assume no responsibility for monitoring the content of your web site or other conduct in connection with your use of Widget. In addition, we reserve the right to investigate and take appropriate legal action against any user who violates, or whom we suspect has violated, these Conditions of Use, including reporting you to the applicable law enforcement authorities.
8. Links. The provision of a link between Widget and any other web site or Internet resource is for your convenience only and does not signify IHG's control or endorsement of such other web site or resource or its contents. YOU AGREE THAT IHG AND ITS PARENTS, AFFILIATES AND SUBSIDIARIES, SHALL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY INFORMATION, SOFTWARE, OR MATERIALS FOUND AT ANY OTHER WEB SITE OR INTERNET RESOURCE.
9. Copyright Infringement. We respect third party intellectual property rights, and we expect you to do the same. We reserve the right, without notice, to terminate your license to use the Widget if we are notified or become aware that any content on your web page infringes or violates any third party intellectual property rights or otherwise violates applicable law. If you are unsure if any content or portion(s) of the content on your web page infringes or violates a third party's copyright or other intellectual property or proprietary rights, then you should either omit such content, and/or consult an attorney, in each case before you use the Widget. You also agree that you shall not alter the presentation of the Widget in any way, nor remove from view any copyright legend or trademark appearing on the Widget.
10. Termination. We may terminate or suspend your access to all or part of the IHG services, including Widget, with or without notice, if you violate these Conditions of Use, any other IHG service conditions of use, or IHG’s Privacy Policy found at www.ihg.com, or if you engage in any conduct that IHG, in its sole and absolute discretion, believes is in violation of any applicable law or regulation or is otherwise harmful to the interests of IHG or any of its parents, affiliates or subsidiaries, any other IHG user, or any third party. YOU AGREE THAT IHG AND ITS PARENTS, AFFILIATES AND SUBSIDIARIES SHALL NOT BE LIABLE IN ANY MANNER OR AMOUNT TO YOU OR ANY THIRD PARTY FOR SUSPENDING OR TERMINATING YOUR ACCESS TO THE IHG WEB SITE, IHG WIDGET, OR ANY PORTION THEREOF. You may terminate this license by discontinuing your use of Widget at any time, by ceasing to use the Widget and removing the Widget (and associated software code), from your web site, all hard drives, networks and other storage media. We reserve the right to investigate your use of Widget if we, in our sole and absolute discretion, believe you have violated these Conditions of Use.
11. Modifications to Conditions of Use. We reserve the right to make changes to these Conditions of Use, at any time and without any separate notice to you. Please review these Conditions of Use on a periodic basis, so that you are aware of any changes. If you object to any such changes, your sole recourse is to stop using Widget and removing the Widget (and associated software code) from your desktop or web page. Continued use of Widget following implementation of any such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes. If any of these Conditions of Use are deemed invalid, void or for any reason unenforceable, that condition shall be deemed severable and shall not affect the continued validity, effectiveness, binding nature and enforceability of any remaining condition.
12. Modifications to Widget. We may add or remove services, features and content, to or from, Widget at any time, and we reserve the right to discontinue Widget at any time, in each case with or without notice to you. YOU AGREE THAT IHG SHALL NOT BE LIABLE IN ANY MANNER OR AMOUNT TO YOU OR ANY THIRD PARTY SHOULD IHG EXERCISE ITS RIGHT TO MODIFY OR DISCONTINUE IHG WIDGET.
13. Privacy. To the extent that you also provide us with any of your personally identifiable information, IHG will only use such information in accordance with the Privacy Policy of IHG, a copy of which is available here. To the extent there is a conflict between IHG’s Privacy Policy and this Agreement, this Agreement's terms will govern. Please note that by accepting this Agreement, any of the personally identifiable information you submit may be directed to a third party site administered and hosted by a third party vendor retained by IHG provided, that in such event, the third party vendor will have no right to use any such information other than uses necessary to fulfill its services to IHG. |
