Official Sweepstakes Rules & Regulations

1. To enter: NO PURCHASE IS NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Vote for the place you think is America's most beautiful. If the locale you select is the most popular one, you will automatically be entered into a random drawing to win a family vacation to that destination! Complete the official entry form available at www.holiday-inn.com/usaweekend. Entry forms are only available online. Normal Internet access and usage charges imposed by your on-line service will apply. The Sweepstakes begins at 12:01 a.m. Eastern Daylight Time (EDT) on May 16, 2003 (Start Date). All entries must be received by Sponsor no later than 11:59 p.m. EDT, June 6, 2003 (End Date). The Winner will be selected by a random drawing on or about June 11, 2003, among all qualified entries received. A representative of an independent company will conduct the drawing. The winner will be notified by telephone. Sponsor is not responsible for lost, late, damaged, misdirected, incomplete, or illegible entries, and those entries will be disqualified. By participating, entrants agree to be bound by these Official Rules and to accept Sponsor's decision as final and binding. By entering, you also agree to waive any right to claim ambiguity or error in these Official Rules or in the Sweepstakes itself. "Most Beautiful Destination" will be judged on number of votes received through the website at www.holiday-inn.com/usaweekend. Visitors to the site are encouraged to vote for their favorite place. You may enter as often as you wish.



2. Prizes: One (1) Grand Prize winner will receive a family vacation for up to four people, for a maximum of six nights. Trip includes round-trip coach air transportation for up to four people from the major airport nearest the winner's residence; up to seven days/six nights room and room tax for four people at the Holiday Inn Hotel closest to the winning destination (1 room per night); $50 spending money per day per person (for gratuities, food and beverage); ground transportation at winning destination (If winning destination is in the state of Hawaii, then two island hops arranged by the sponsor are included). Winning entrant may choose to stay less than six nights. Actual travel arrangements must be coordinated with an outside agency as determined by Sponsor. Sponsor shall solely determine the specifics of all elements of the Grand Prize. Sponsor reserves the right to change/modify trip itinerary relating to arrival and departure times and cities. Some restrictions may apply. Total approximate maximum value of Grand Prize: $4,999.00. Sponsor will make arrangements for the fulfillment of the Grand Prize. 3. General conditions: Sweepstakes is open to residents of the United States and the District of Columbia, who are 18 years or older as of May 16, 2003. Employees of Sponsor and any of its branded hotels, franchisees, agencies, affiliates, subsidiaries, advertising, fulfillment and promotion agencies, and the immediate families of each are not eligible. Odds of winning depend upon number of eligible entries timely received for winning destination. Void where prohibited by law. All federal, state, and local laws apply. Sponsor, in its sole discretion, reserves the right to cancel or modify this Sweepstakes if fraud or administrative or technical failures compromise the integrity of the Sweepstakes, or to modify prize award procedures. Should the Sweepstakes be terminated prior to the stated End Date, notice will be posted on the sweepstakes website at www.holiday-inn.com/usaweekend. The Grand Prize winner will be notified by telephone. Grand Prize is not transferable and is limited to one prize per household or address. No prize or cash substitutes allowed, except at the discretion of Sponsor. The Grand Prize winner may be required to sign and return an affidavit of eligibility and liability release and, where legal, a publicity release, within 15 days of notification or prize may be awarded to alternate winner in Sponsor's sole discretion. In that event, alternate winner will be selected at random from all eligible entries. Entry into this Sweepstakes constitutes each winner's agreement to sign such affidavit and release. The Grand Prize Winner must show proof of age. The Grand Prize will be awarded. Entrants agree that Sponsor, and its parent, affiliates, franchisees, companies, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees and agents will have no liability whatsoever for any injuries, losses or damages of any kind resulting from acceptance, possession, misuse or use of any prize that may be won in this Sweepstakes or by their participation in this Sweepstakes. Except where legally prohibited, winner grants permission for Sponsor to use his/her name, photograph, and/or likeness, and any entry that has been submitted, for advertising and/or publicity purpose without compensation. Taxes on all prizes are solely the responsibility of the winner. Sponsor is not responsible for printing or typographical errors in any Sweepstakes-related materials, for any human, computer or technical error or failure, for any act of nature, or for any telephone or computer malfunction or error.



4. CAUTION: ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE GEORGIA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY OF THE CONTROVERSY REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF GEORGIA SHALL GOVERN THE SWEEPSTAKES. EACH PARTICIPANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
